A UK Limited Company, designed around Kazakhstani founders.
A serious guide for entrepreneurs across Kazakhstan — Almaty, Astana, Shymkent, Karaganda, Aktau, Atyrau, Pavlodar and beyond — from Astana Hub IT-Park exporters and Toptal engineers to AIFC-adjacent founders, crypto and mining operators, and post-2022 relocated founders. Written for the realities of NBK currency-control reporting, Astana Hub 0% CIT, AIFC vs UK Ltd positioning, and how a UK Ltd sits beside a TOO — not against it.
Why Kazakhstani founders increasingly hold a UK entity — honestly.
Kazakhstan is one of the most quietly ambitious jurisdictions in Eurasia. Astana Hub has become the largest IT-Park in Central Asia. AIFC is one of the few English-common-law free zones in the CIS. Almaty is a mature tech and financial centre with an unusually deep pool of senior engineering talent — much of it expanded after 2022. And yet, when Kazakhstani founders begin selling into Europe, the UK and North America, they run into the same wall: Western procurement teams that will not contract with a TOO in a jurisdiction they do not recognise.
A UK Limited Company is not a tax shelter, and it is not a way around the NBK or the State Revenue Committee. It is a fully public, English-law entity — filed at Companies House, taxable on its worldwide profits in the UK, and searchable by anyone. What it gives a Kazakhstani founder is specific: a Western-recognised counterparty entity, GBP/USD/EUR receiving accounts in the company's name via Wise Business and Airwallex, and a clean separation between international revenue and any Astana Hub / AIFC / TOO you already run.
This guide is written for you, in Kazakhstan, right now. It covers what a Kazakhstani tax consultant actually asks: NBK Chapter on currency regulation, Astana Hub IT-Park CIT interaction, AIFC positioning, worldwide-income declaration under the Tax Code, and how UK banking behaves for an Almaty- or Astana-based director.
From Astana Hub SaaS to AIFC-adjacent founders — the use cases that make real sense.
Kazakhstani IT companies with Astana Hub / IT-Park participant status benefit from a 0% Corporate Income Tax regime domestically on qualifying IT export income. A UK Ltd complements this — not replaces it — as the counterparty entity for Western enterprise clients that will not contract with a TOO in a jurisdiction they do not know.
Kazakhstan has an unusually deep pool of Russian- and English-speaking senior engineers, many of whom relocated after 2022. A UK Ltd gives them a company-name receiving stack in GBP/USD/EUR — rather than routing everything through a personal Payoneer or Wise account that eventually attracts NBK currency-control questions.
Almaty and Astana consultants advising Central Asian, GCC and European clients use a UK Ltd for cross-border invoicing, English-law engagement letters, and a counterparty tier that Western procurement teams already price into their vendor onboarding.
Founders who relocated their operations to Kazakhstan after 2022 often need a Western-facing entity that is not registered in a CIS jurisdiction. A UK Ltd — with clean UK sanctions posture and English-law contracts — pairs naturally with a Kazakhstani TOO for the operational side.
Kazakhstan is one of the world's largest Bitcoin-mining jurisdictions and hosts a growing set of AIFC-licensed digital-asset service providers. A UK Ltd is the common preferred vehicle for the international commercial side — customer contracts, exchange listings and enterprise SaaS licensing — while mining and local licensed activity remain with the AIFC or Astana Hub entity.
Kazakhstan sits on the strategic Trans-Caspian corridor between China, Central Asia, the Caucasus and Europe. Traders and forwarding agents use a UK Ltd for GBP/USD/EUR invoicing to European counterparties, English-law commercial contracts and a clean audit trail — while the physical logistics remains under a Kazakhstani TOO.
Can a Kazakhstani resident own and run a UK Ltd?
Kazakhstani citizens and foreign residents of Kazakhstan can incorporate, own 100% of, and act as sole director of a UK Limited Company. No National Bank of Kazakhstan approval, no State Revenue Committee consent and no Astana Hub notification is required simply to become a director and shareholder of a foreign entity.
Where NBK rules do apply is on cross-border capital transfers above thresholds (currently around USD 50,000) — subject to currency-control reporting under the Law on Currency Regulation and Currency Control. Most Kazakhstani founders capitalise the UK Ltd through revenue billed abroad, which does not trigger these thresholds.
The honest comparison — three structures, three jobs.
| Feature | UK Ltd | Kazakhstani TOO (LLP) | AIFC Entity |
|---|---|---|---|
| Setup time | Same working day after ID verification. | 3–10 working days via e-Gov, e-Notariat and Statistics Committee. | 2–6 weeks depending on activity — English common-law jurisdiction inside Astana. |
| Corporate tax | UK Corporation Tax 19–25% on worldwide profits. | Kazakhstan CIT 20% (or 0% for Astana Hub / IT-Park participants on qualifying IT export income). | 0% CIT for 50 years on qualifying financial-services and ancillary income — restricted to AIFC-permitted activities. |
| VAT | UK VAT threshold £90,000 (mandatory registration). | KZ VAT threshold ~20,000 MCI; standard rate 12%. | 0% VAT on AIFC-permitted activities and cross-border services. |
| Foreign ownership by Kazakhstan-resident | Permitted. Cross-border capital transfers reportable to National Bank of Kazakhstan above certain thresholds (typically ~USD 50,000). | N/A — domestic entity. | Foreign ownership permitted; AIFC is designed for international participants. |
| Legal system | English common law. | Kazakhstan civil law (Russian-language contracting norm). | English common law inside AIFC territory — one of the few in the region. |
| Best fit | International revenue outside the CIS, English-law contracts, Stripe UK, EU/UK/US clients. | Kazakhstan-domestic operations, local staff, KZT invoicing, government tenders, Astana Hub IT export. | Regulated financial services, funds, crypto/digital assets and holding structures under English law inside Kazakhstan. |
Informational comparison. Astana Hub IT-Park, AIFC and NBK currency-control regimes have real implications — take advice locally before deciding.
Your requirements at a glance.
Six practical items. Everything else — drafting, filing, Companies House correspondence — is handled by us.
Kazakhstani biometric passport or a foreign passport if you are a resident with a Kazakhstani residence permit. Valid for 12+ months. The ЖСН (IIN) card and жеке куәлік (national ID) alone are not accepted by Companies House — a machine-readable passport is required.
A recent utility bill (KazTransGas, Kazakhtelecom, Beeline, Kcell, Tele2), residential registration (тіркеу / прописка), or a statement from Kaspi Bank, Halyk Bank, ForteBank, Jusan Bank, Bereke Bank or Freedom Finance — issued within the last 3 months and showing your full name and Kazakhstani address.
You can be both. No UK residency requirement and no Kazakhstan nationality requirement. Non-Kazakhstani residents (including recently relocated founders on a Kazakhstani residence permit) can incorporate on identical terms.
Every UK Ltd needs a UK registered office for Companies House correspondence. A prestigious London registered office address is included in our Prestige and Elite packages.
Mandatory for all directors and PSCs since 2025. Completed 100% remotely from Almaty, Astana, Shymkent, Karaganda, Aktau, Atyrau, Pavlodar or anywhere else in Kazakhstan via an Authorised Corporate Service Provider — passport plus a short liveness video. Usually cleared within 24 hours.
One clean page in English for UK bank onboarding: what the UK Ltd does, main clients and their countries, expected currencies (GBP, USD, EUR, KZT if relevant), and how — if at all — it interacts with any existing TOO, IT-Park / Astana Hub participant company, or AIFC-registered entity.
From Kazakhstan to a live UK company in seven clear steps.
- 1Positioning call — UK Ltd, TOO or AIFC?
Before anything is filed, we walk through your real situation. Are you an Almaty developer with 100% overseas clients? An Astana Hub SaaS founder chasing Western enterprise procurement? A commodities trader between China and the EU? For genuine Kazakhstani-domestic activity (KZT invoicing, local staff, government contracts, IT-Park 0% CIT), a TOO or AIFC entity remains correct — and we will tell you so plainly.
- 2Name check, KZ trademark & IP scan
Companies House availability plus a cross-check against Kazpatent trademark records and UKIPO — to avoid conflicts with any existing Kazakhstani brand or AIFC-registered name you already use.
- 3Companies House identity verification
Done remotely from anywhere in Kazakhstan. Passport, selfie, liveness check. No visit to the British Embassy in Astana, no notary, no apostille of Kazakhstani documents.
- 4IN01, Articles, PSC and SIC codes prepared in English
Share structure, PSC declarations, director service address, SIC codes and Memorandum & Articles — drafted in English and sent for approval before filing. Where you run a TOO or AIFC entity in parallel, we align activities to prevent overlap.
- 5Electronic filing at Companies House
Same-working-day filing for Prestige and Elite. You receive Certificate of Incorporation, share certificates, Memorandum & Articles and a full UK compliance calendar.
- 6Banking preparation — Wise, Revolut, Airwallex
For a Kazakhstan-resident director, the realistic sequence is fintech first: Wise Business, Airwallex, then Revolut Business where eligible. UK high-street onboarding on day one is uncommon — plan for the fintech stack first, and treat the high-street application as a phase 2 once real trading history exists.
- 7HMRC, Corporation Tax and ongoing UK compliance
Corporation Tax registration, confirmation statement calendar, PSC updates, and support with UK VAT and EORI only when thresholds are crossed. For Kazakhstani CIT, VAT, Astana Hub IT-Park compliance and NBK currency-control reporting, we introduce a Kazakhstani tax consultant.
- 1.NBK currency-control reporting — cross-border capital flows above the current NBK thresholds (around USD 50,000) are reportable. Most founders capitalise via revenue billed abroad, which sidesteps this reporting.
- 2.Place of Effective Management (POEM) — if the UK Ltd is directed and controlled day-to-day from Almaty or Astana, the State Revenue Committee may consider the UK Ltd tax-resident in Kazakhstan, notwithstanding its UK incorporation.
- 3.Astana Hub interaction — if your Astana Hub IT-Park TOO delivers the work and the UK Ltd holds the customer contract, transfer-pricing documentation and arm's-length terms matter to preserve the 0% CIT.
None of these make a UK Ltd wrong — they simply need to be documented before you scale.
Wise, Airwallex, Revolut — the honest sequence.
For a Kazakhstan-resident director, the realistic UK banking pipeline is fintech first, high-street later. Wise Business and Airwallex both provide GBP, EUR and USD account details in the UK Ltd's name — the same details Stripe UK, Amazon UK, Deel and enterprise SaaS accept as company payout destinations. Revolut Business is available for some Kazakhstan residents. A UK high-street application (Barclays, HSBC, Lloyds, Starling) is realistic in phase 2, once real trading history exists.
- A clean English business summary — what, to whom, in which currencies
- Passport matching PSC data exactly (жеке куәлік alone is not accepted)
- A credible commercial reason for a UK entity (UK/EU/US clients, Stripe UK, English-law contracts)
- Clean UK sanctions (OFSI) and adverse-media screening
- A professional email on your own domain — not Gmail, Yandex, Yahoo or Mail.ru
- Realistic first-year revenue projections with currency mix (GBP / USD / EUR)
We are not a bank, EMI or introducer. We take no commission from Wise, Revolut, Airwallex or any UK high-street bank. Our role is to prepare your application to the level these institutions actually expect.
No advisor — in the UK, Kazakhstan or anywhere else — can guarantee bank acceptance. Any promise of a "guaranteed UK bank account for Kazakhstani residents" should be treated with strong scepticism.
Banking assistanceUK obligations — and where Kazakhstani tax begins.
The UK Ltd pays UK Corporation Tax on its worldwide profits (19% small profits rate up to £50k, 25% main rate with marginal relief). Annual accounts filed with Companies House, CT600 filed with HMRC.
Mandatory UK VAT registration once UK-taxable turnover exceeds £90,000 over a rolling 12-month period. Most Kazakhstan-based service exporters to non-UK clients stay well below and choose whether to register voluntarily.
Kazakhstan taxes individual residents on worldwide income at 10% for most sources including dividends. Salary and dividends from a UK Ltd are declarable on your annual Kazakhstani return, with treaty relief under the Kazakhstan–UK DTAA where relevant.
No UK withholding tax on dividends paid to a non-UK shareholder. Kazakhstani personal tax on those dividends is governed by the Tax Code and the Kazakhstan–UK double tax treaty. Confirm with your Kazakhstan tax consultant.
We advise on the UK side. We do not provide Kazakhstani tax advice. All State Revenue Committee, NBK, Astana Hub and AIFC questions should be confirmed by a Kazakhstan-licensed tax consultant.
The questions Kazakhstani founders actually ask us.
Can a Kazakhstani resident legally open a UK Limited Company?+
Yes. The UK Companies Act 2006 places no residency, nationality or immigration condition on directors, shareholders or PSCs. A Kazakhstani citizen or foreign resident of Kazakhstan can incorporate, own 100% of the shares and act as sole director of a UK Ltd from Almaty, Astana, Shymkent, Karaganda, Aktau, Atyrau or Pavlodar.
Do I need National Bank of Kazakhstan (NBK) approval?+
Becoming a director of a foreign company does not require NBK approval. What is regulated is the cross-border transfer of capital — Kazakhstan residents remitting funds abroad to acquire foreign shares or make capital contributions above thresholds (currently around USD 50,000) are subject to NBK reporting rules under the Law on Currency Regulation and Currency Control. Most Kazakhstani founders capitalise the UK Ltd through revenue billed abroad rather than by remitting KZT, which sidesteps most of this reporting.
How does the Astana Hub / IT-Park 0% CIT regime interact with a UK Ltd?+
The Astana Hub IT-Park regime provides 0% Corporate Income Tax for participant Kazakhstani entities on qualifying IT export income. A UK Ltd is not a participant — it is a separate UK-taxed entity. Where the setup is a Kazakhstani IT-Park TOO doing the delivery, and a UK Ltd doing the customer-facing invoicing, arm's-length intercompany terms and transfer-pricing documentation matter. In some cases, the IT-Park entity is the right primary vehicle and no UK Ltd is needed — take advice locally.
Should I use AIFC instead of a UK Ltd?+
AIFC (Astana International Financial Centre) is one of the few English-common-law jurisdictions in the region and is excellent for regulated financial services, funds, crypto/digital-asset service providers and holding structures inside Kazakhstan. A UK Ltd is generally simpler and cheaper for a founder whose only need is a Western-facing operating and invoicing entity — no AIFC substance, no AFSA licensing, no ancillary AIFC compliance. Many founders use both, in different roles.
As a Kazakhstani tax resident, how am I personally taxed on income from a UK Ltd?+
Kazakhstan taxes its tax residents on worldwide income under the Tax Code. Individual Income Tax (IIT) currently sits at 10% on most sources including dividends. Salary and dividends drawn from a UK Ltd generally need to be declared on your annual Kazakhstan return. The Kazakhstan–UK double tax treaty allocates taxing rights between the two countries. Confirm your specific position with a Kazakhstan tax consultant.
Will HMRC or Companies House share my data with the Kazakhstani State Revenue Committee?+
Both the UK and Kazakhstan participate in the OECD Common Reporting Standard (CRS). Financial account data may be exchanged automatically between the two countries. Companies House is a fully public register — director and PSC records are searchable by anyone.
Which banks and fintechs work for a Kazakhstan-based director?+
Realistically the first accounts are fintech: Wise Business and Airwallex both provide GBP/USD/EUR account details in the UK Ltd's name — accepted by Stripe UK, Amazon UK, Deel and enterprise SaaS platforms. Revolut Business is available for some Kazakhstan residents. A UK high-street application (Barclays, HSBC, Starling) becomes viable in phase 2 once real trading history exists. No advisor can guarantee bank acceptance.
Can my UK Ltd receive KZT and convert into GBP/USD?+
Wise Business does not hold KZT natively but will convert incoming KZT via SWIFT. In practice most Kazakhstani-based directors route KZT through their local Kaspi, Halyk or ForteBank account first, then remit GBP or USD to the UK Ltd — cleaner from an audit-trail perspective, and easier to reconcile against NBK currency-control reporting thresholds.
I recently relocated to Kazakhstan from Russia or Belarus — can I still open a UK Ltd?+
Whether you can open a UK Ltd depends on your current tax residence and passport, not on where you lived previously. Companies House and UK banks will screen against UK sanctions lists (OFSI) and the standard adverse-media checks. Where you are personally not sanctioned and your business activity is unrelated to sanctioned sectors or entities, incorporation and fintech onboarding are generally possible on the same terms as any other Kazakhstan resident. This is a case-by-case review — we will tell you honestly on the positioning call.
Do I have to travel to the UK?+
No. Formation, Companies House identity verification, UK banking preparation and ongoing compliance are 100% remote from Kazakhstan. The overwhelming majority of our Kazakhstani clients never set foot in the UK to run the entity.
Can my UK Ltd take Stripe payments from a Kazakhstan-based director?+
Stripe UK onboarding is based on the company's jurisdiction, not the director's residence. Stripe supports UK Ltds with non-UK directors provided KYC and business model are clean. We do not process Stripe applications ourselves, but the UK Ltd we form is the correct structure to apply.
How long does incorporation take for a Kazakhstan-based founder?+
Once Companies House ID verification clears — usually within 24 hours — incorporation is generally same-working-day for Prestige and Elite. Total elapsed time from order to a live company is typically 1–3 working days. Fintech account onboarding usually takes a further 5–15 working days.
