Client objective
Move billing from a sole proprietorship in India to a credible UK Limited Company so European buyers could contract with a UK entity and pay in GBP/EUR.
Challenges
- Procurement teams at two prospective clients would not sign a Master Services Agreement with an Indian sole proprietorship.
- Existing Stripe India account was not accepted by the buyers' finance functions.
- The founder had never travelled to the UK and could not provide UK bank references.
Advisory approach
- 1Incorporated a UK Limited Company with a single ordinary share class, London registered office and director service address.
- 2Structured the SIC codes around software publishing (58.29) and information service activities (63.99).
- 3Prepared the founder for Companies House identity verification through an Authorised Corporate Service Provider.
- 4Reviewed the website, T&Cs and pricing page against Stripe UK underwriting criteria before submission.
- 5Sequenced the banking stack: Wise Business first for GBP/EUR collection, Stripe UK for card acquiring.
Outcome
The UK company was incorporated in under 48 hours. Wise Business approved within 6 working days and Stripe UK completed underwriting on first submission. Both enterprise contracts were signed within the following quarter.
Key lessons
- Structural credibility (UK entity, professional address, clean documents) is often the unlock — the technology was ready long before the paperwork was.
- Sequencing matters. EMI first, card acquiring second, high-street bank later.
- SIC codes are not cosmetic. Buyers and underwriters read them.
